agree to be bound by these Terms and Conditions. Please read
them carefully.
1. Introduction and Services
Uzakitu is a digital e-commerce platform owned and operated
by Uzakitu (a registered business in Kenya). We provide a
software-as-a-service (SaaS) platform that allows Small and
Medium Enterprises (SMEs) in the retail, wholesale, and
manufacturing sectors to:
- Create and manage digital storefronts.
- List and sell products.
- Process payments and manage orders.
- Access business analytics.
2. Eligibility and Account Registration
- Eligibility: To use Uzakitu, you must be
a legally registered business entity in Kenya or an individual
over 18 years of age capable of forming a binding contract.
- Account Accuracy: You agree to provide accurate,
current, and complete information during the registration
process and to keep your account information updated.
- Security: You are responsible for safeguarding
your password and for any activities or actions under your
account.
3. Nature of the Platform (Role of Uzakitu)
- Platform Provider: Uzakitu provides the
technology infrastructure only. We do not own, sell, or manufacture
any of the products listed on the platform.
- Seller of Record: The SME is the "Seller
of Record" for all transactions. Any contract for the sale
of goods is strictly between the SME and its customer.
- Disputes: Uzakitu is not responsible for
resolving disputes regarding product quality, delivery failures,
or refunds; however, we may facilitate communication between
parties.
4. Subscription Tiers and Payments
Uzakitu offers two service tiers:
- Free Tier: Access to basic features at no
cost.
- Premium Tier: Access to advanced features
and analytics for a recurring subscription fee.
Non-Payment Policy (Premium Tier):
- Grace Period: If a subscription payment
is missed, the account remains active for one month (30 days).
- Reminders: We will send automated email
reminders to the registered email address during this period.
- Deactivation: If payment is not received
after 30 days, the account will be deactivated.
- Data Preservation: Deactivation does not
result in data loss. Your product listings, customer history,
and analytics will remain securely stored.
- Reactivation: Accounts will be fully restored
upon payment of the outstanding balance.
5. Intellectual Property and Content
- Your Content: SMEs retain full ownership
of all text, images, and product data uploaded to Uzakitu.
By uploading content, you grant Uzakitu a non-exclusive license
to host and display it for the purpose of operating your
store.
- Uzakitu IP: All software, design, logos,
and platform features are the exclusive property of Uzakitu.
6. Payments and Banking
- SMEs must connect a valid bank account to receive
payments.
- Uzakitu uses third-party payment processors to
facilitate transactions. By using these features, you
agree to comply with the terms of our payment partners.
- Uzakitu is not liable for delays caused by banking
institutions or incorrect bank details provided by the
SME.
7. Prohibited Activities
Users may not:
- List illegal, counterfeit, or prohibited goods under
Kenyan law.
- Use the platform for fraudulent activities or money
laundering.
- Interfere with the security or integrity of the
platform.
8. Limitation of Liability
To the maximum extent permitted by Kenyan law, Uzakitu shall
not be liable for any indirect, incidental, or consequential
damages (including loss of profits) arising from:
- The use or inability to use the platform.
- Product defects or delivery failures by SMEs.
- Temporary platform downtime for maintenance.
9. Governing Law
These Terms and Conditions are governed by and construed in
accordance with the Laws of the Republic of Kenya. Any
disputes shall be subject to the exclusive jurisdiction of
the Kenyan courts.
